Important: These terms apply specifically to the MyAMT Salary Advance and Payroll Recovery Platform. Where a signed proposal, service agreement, statement of work, or written agreement exists, that agreement prevails to the extent of any inconsistency.

1. Purpose of These Terms

These MyAMT Solution Terms apply to the delivery, productionisation, hosting, support, maintenance, configuration, change management, and operation of the MyAMT Salary Advance and Payroll Recovery Platform supplied by Boshoff Technology Service Solutions (Pty) Ltd (“BTSS”) to AMT Placement Services or any approved client entity using the MyAMT solution.

These terms are intended to supplement the approved MyAMT proposal, invoice, quote, statement of work, and any written agreement between the parties. If there is a conflict between these terms and a signed agreement, the signed agreement will take precedence.

2. Definitions

“BTSS”, “Service Provider”, “we”, “us” or “our” means Boshoff Technology Service Solutions (Pty) Ltd. “Client”, “AMT”, “you” or “your” means AMT Placement Services or the client entity named on the applicable proposal, invoice, or agreement. “MyAMT” means the salary advance and payroll recovery platform delivered by BTSS. “Platform” means the MyAMT application, admin portal, employee journey, workflow, configuration, reports, dashboards, payroll recovery features, integrations, and related services.

“Capex” means the once-off finalisation and productionisation fee. “AMC” means Annual Maintenance and Support. “Hosting” means the VPS hosting service made available for the MyAMT production environment. “Managed Hosting Support” means the basic infrastructure support service supplied by BTSS. “Change Request” means any change, enhancement, new function, or out-of-scope service not included in the approved MyAMT scope.

3. Approved Scope

The approved MyAMT scope is limited to the functionality, deliverables, assumptions, exclusions, and commercial model set out in the accepted proposal, invoice, or written agreement.

The MyAMT scope may include employee WhatsApp journeys, POPIA consent, employee lookup, employee-not-on-system access requests, HRO review, salary advance applications, admin portal workflow queues, Branch / Client / Client Site routing, HRO, HRM, Director, Creditors and Payroll workflows, creditor payout processing, payroll deduction schedule confirmation, internal recovery tracking, notifications, dashboards, reports, Configuration Centre, audit logging, and SharePoint or OneDrive document storage.

Any functionality not expressly included in the approved scope is excluded and may be quoted separately as a Change Request.

4. Commercial Model

The MyAMT commercial model may include a once-off Capex fee, monthly hosting fees, monthly Managed Hosting Support fees, Annual Maintenance and Support, optional infrastructure scaling, approved Change Requests, after-hours support, travel, third-party costs, and other approved charges.

Unless otherwise agreed in writing, all amounts are quoted in South African Rand. No VAT is charged, as BTSS is not VAT registered.

5. Option 3 Commercial Model

Where the Client selects MyAMT Option 3, the solution is supplied as a BTSS-hosted production deployment with Annual Maintenance and Support. Option 3 includes the final MyAMT platform delivery, BTSS-managed production hosting, Managed Hosting Support, and AMC under a capped annual support allocation.

Option 3 is intended to provide a balanced production operating model covering platform finalisation, managed hosting, go-live readiness, and controlled post-go-live support.

6. Capex Billing and Payment Milestones

Unless otherwise agreed in writing, the MyAMT Final Platform Capex is billed as follows:

  • 50% upfront on project commencement or invoice issue.
  • 50% on project completion, production go-live, or formal handover, whichever occurs first.

The upfront Capex payment authorises BTSS to proceed with project finalisation, production preparation, hosting setup, configuration assistance, testing, documentation, and related commencement activities for the approved MyAMT scope.

The remaining Capex balance becomes due once the approved scope is substantially completed, the platform is made available for production use, go-live readiness is confirmed, formal handover is completed, or the Client starts using the platform operationally, whichever occurs first.

7. Included Capex Support Allocation

The once-off Capex includes a limited implementation support allocation intended to assist with production readiness and initial go-live adoption. Unless otherwise agreed, the included support allocation is:

  • 12 hours configuration support.
  • 8 hours go-live support.
  • 4 hours training and handover support.
  • 24 hours total included implementation support.

These hours are not intended to replace AMC. Any support required beyond the included allocation may be billed against the AMC support allocation, where active, or quoted separately as a Change Request.

Unused Capex-included support hours do not roll over into AMC unless agreed in writing.

8. Project Completion, Go-Live and Handover

A project, phase, or deliverable may be considered completed where BTSS has substantially delivered the approved scope, made the platform available for use, completed relevant handover activities, or made the production environment available to the Client.

Production go-live may include deployment of the production environment, the platform being made available for operational use, the Client starting to use the platform for live or operational scenarios, BTSS confirming go-live readiness, or the Client accepting the deliverable.

Minor defects, cosmetic issues, deferred items, configuration refinements, reporting refinements, or non-blocking issues do not prevent completion, go-live, handover, or payment unless specifically agreed in writing.

9. Hosting

Where BTSS hosts the MyAMT platform, hosting is billed monthly in advance once the hosting environment has been provisioned, unless otherwise agreed in writing.

Hosting fees are payable regardless of platform usage once the hosting environment has been provisioned, configured, or made available for the Client.

The base VPS hosting package may include 6 vCore, 8 GB RAM, 80 GB storage, and 1 backup slot, unless otherwise stated in the accepted proposal or invoice.

10. Managed Hosting Support

Managed Hosting Support is a basic infrastructure support service and is billed monthly in advance where selected or required by the chosen commercial option.

Managed Hosting Support may include basic VPS operational oversight, Docker/container restart assistance, approved release deployment support, uptime/resource checks, backup oversight, SSL/domain configuration support, environment variable support, secrets support, basic infrastructure troubleshooting, server security patching support, and coordination of VPS resource scaling.

Managed Hosting Support excludes major infrastructure redesign, high-availability architecture, disaster recovery architecture, penetration testing, advanced security monitoring, application enhancements, support beyond the AMC cap, dedicated standby, guaranteed response times, third-party costs, and formal SLA commitments unless separately agreed in writing.

11. Infrastructure Scaling

VPS resources may be scaled where required and approved by the Client. Scaling may include additional CPU, RAM, storage, and backup slots. Storage may only be scalable upward depending on the provider or hosting package.

Scaling will only be applied after Client approval and will be billed at the applicable rate or hosting provider cost reflected in the proposal, invoice, or written quote.

12. Annual Maintenance and Support

AMC commences from production go-live or formal handover, whichever occurs first, unless otherwise agreed in writing. AMC is billed annually in advance from the support commencement date.

MyAMT AMC includes corrective maintenance for delivered functionality, security vulnerability patch assistance, minor configuration support, minor template and rule updates, issue investigation, production advisory, and operational support, capped at 24 support hours per annum unless otherwise agreed.

Unused AMC hours do not roll over unless agreed in writing. Support required beyond the annual cap will be quoted or billed separately under the approved Change Request rate card.

13. AMC Proration

Where AMC commences partway through a calendar year or financial year, it may be prorated by agreement. Unless otherwise agreed, proration may be calculated at R1,000.00 per month and 2 support hours per month. Any part-month may be treated as a full month unless otherwise agreed in writing.

14. Support Scope

Support is limited to the delivered MyAMT platform and approved production scope. Support may include investigation of reported issues, corrective fixes, minor configuration assistance, minor notification/template updates, minor report assistance, operational advisory, user role guidance, and minor deployment assistance for approved fixes.

Support excludes new modules, new workflows, new integrations, new dashboards, data cleansing, historical migration, major UI changes, business process redesign, custom reporting outside approved scope, third-party vendor support, after-hours standby, and guaranteed SLA commitments unless separately agreed.

15. Change Requests

Any amendment, enhancement, addition, or material change to the approved MyAMT scope will be treated as a Change Request. Change Requests may include new functionality, workflow redesign, new reports, new dashboards, additional integrations, additional environments, data imports, Sage write-back expansion, changes to business rules, additional WhatsApp journeys, or any work exceeding the AMC support cap.

Change Requests will only commence once assessed, quoted, and approved in writing. BTSS may quote Change Requests as fixed-price work or time-and-materials work.

16. After-Hours and Urgent Support

After-hours work, urgent work, weekend work, public holiday work, standby support, or priority response support is excluded unless specifically agreed in writing. Approved after-hours support may be billed at the applicable after-hours rate.

Urgent production-impacting issues will be prioritised where reasonably possible, but no guaranteed same-day response, dedicated standby resource, or formal service-level agreement applies unless separately agreed in writing.

17. Travel and On-Site Costs

MyAMT delivery and support are remote by default. Travel, accommodation, meals, vehicle hire, parking, tolls, flights, transfers, and related travel costs are excluded unless specifically agreed in writing.

Where on-site attendance is requested and approved, travel costs may be billed at actual cost or at an agreed rate. Travel time may be billable where it materially impacts BTSS availability or requires time away from scheduled work.

18. Third-Party Costs

Third-party costs are excluded unless expressly included on the invoice or accepted proposal. Third-party costs may include Microsoft 365, SharePoint, OneDrive, Sage, WhatsApp messaging, domain registration, DNS, SSL, hosting provider costs, email provider costs, SMS, banking, payment gateway, bureau, audit, legal, security, or compliance fees.

Where BTSS incurs approved third-party costs on behalf of the Client, these may be recharged to the Client.

19. WhatsApp and WHAM8 / Baileys

MyAMT may use WHAM8, Baileys, or another approved WhatsApp gateway for WhatsApp messaging. WhatsApp functionality is dependent on third-party messaging behaviour, device status, session status, message delivery, provider availability, WhatsApp restrictions, and gateway capabilities.

Interactive WhatsApp lists or buttons are excluded unless supported and approved by the configured gateway. Where Baileys or WHAM8 is used, the employee journey may use plain numbered text responses.

BTSS is not responsible for WhatsApp outages, bans, rate limits, policy changes, delivery failures, session disconnections, QR relinking requirements, or third-party gateway limitations outside BTSS’s reasonable control.

20. Microsoft SharePoint and OneDrive Storage

MyAMT may use Microsoft SharePoint or OneDrive for long-term document storage. The VPS is not intended to be the long-term repository for employee documents, ID files, proof of payment files, generated reports, repayment schedules, or application evidence.

The Client is responsible for providing valid Microsoft accounts, permissions, licensing, storage access, folder access, app registration details, credentials, and approvals where required.

BTSS is not responsible for Microsoft service outages, permission changes, licensing changes, access revocation, API limits, storage quota limits, tenant restrictions, or policy changes outside BTSS’s reasonable control.

21. Sage and Payroll System Dependencies

Any Sage People, Sage 300 People, payroll system, or third-party payroll integration is subject to availability, licensing, permissions, API access, vendor support, technical validation, and the Client’s internal payroll processes.

Sage write-back, advanced payroll integration, employee master data synchronisation, payroll automation, and any additional payroll integration beyond the approved scope are excluded unless separately scoped and approved.

Payroll decisions, deductions, recovery actions, and Sage processing remain the responsibility of the Client’s authorised payroll users.

22. Employee Data, POPIA and Consent

MyAMT may process employee personal information, identity information, placement information, WhatsApp numbers, application data, salary advance data, documents, workflow actions, and payroll recovery information.

The Client remains responsible for ensuring that it has the necessary authority, consent, lawful basis, employment basis, payroll basis, and POPIA compliance framework to use MyAMT and to provide personal information to BTSS.

BTSS will use reasonable measures to protect personal information in its control and will process such information only for the purpose of delivering and supporting the MyAMT solution.

23. Client Responsibilities

The Client is responsible for providing timely access, approvals, information, data, user lists, Branch data, Client data, Client Site data, employee data, HRO assignments, HRM assignments, Payroll assignments, Director assignments, Creditors assignments, templates, rules, thresholds, test feedback, sign-off, and third-party cooperation required for BTSS to perform the services.

Delays caused by missing data, delayed approvals, unavailable third-party systems, incomplete feedback, incorrect credentials, internal Client delays, or third-party delays may affect timelines and may result in additional costs or revised delivery dates.

24. Exclusions

Unless expressly included in writing, the following are excluded: official WhatsApp Business Platform fees, WhatsApp messaging costs, Microsoft 365 costs, SharePoint costs, OneDrive costs, Sage licensing or vendor support costs, Sage write-back beyond approved scope, banking integration, payment gateway integration, credit bureau checks, biometric verification, native mobile applications, advanced AI scoring, penetration testing, formal POPIA certification, external audits, high-availability architecture, disaster recovery environment, bulk historical data migration, data cleansing, and functionality not approved in the final scope.

25. Payment Terms

Payment is due on the due date stated on the invoice. Where no specific due date is stated, payment is due within 7 calendar days from the invoice date unless otherwise agreed in writing.

Payment must be made using the banking details reflected on the invoice. The Client must use the invoice number as the EFT payment reference. Banking charges, reversal fees, cash deposit fees, international transfer fees, card processing fees, or payment processing fees are for the Client’s account where applicable.

26. No VAT Charged

No VAT is charged, as Boshoff Technology Service Solutions (Pty) Ltd is not VAT registered. Amounts shown on invoices are not VAT-inclusive amounts and do not include VAT.

27. Late Payment and Interest

Overdue amounts may attract interest at 2% per month, calculated from the due date until payment is received in full. BTSS may allocate payments first to interest and costs, and then to principal.

BTSS may recover reasonable collection costs, legal costs, banking charges, and administrative costs associated with overdue accounts.

28. Invoice Disputes

Any invoice dispute must be raised in writing within 7 calendar days of the invoice date. If no dispute is raised within this period, the invoice will be deemed accepted and payable. A dispute over one line item does not entitle the Client to withhold payment of undisputed amounts.

29. Suspension of Services

BTSS may suspend services, hosting support, development, configuration, deployment, support, or access to deliverables where invoices are overdue. Suspension may continue until all overdue amounts are paid in full.

BTSS is not liable for delays, downtime, loss, interruption, or consequences arising from suspension due to non-payment.

30. Ownership and Intellectual Property

Services, deliverables, configurations, documentation, code, reports, outputs, and related project materials remain the property of BTSS until all related invoices are paid in full.

Upon full payment of all amounts due, the Client receives the agreed rights to use the delivered MyAMT solution for its internal business purposes, subject to the agreed proposal, licence terms, and any third-party restrictions.

BTSS retains ownership of pre-existing intellectual property, generic frameworks, reusable components, templates, libraries, utilities, know-how, development methods, background tools, and non-client-specific platform components unless expressly agreed in writing.

31. Confidentiality

Each party must keep confidential information received from the other party confidential and may only use it for the purpose of the MyAMT engagement. Confidential information includes business information, pricing, technical information, credentials, employee information, payroll information, salary advance information, system designs, documentation, reports, and any other non-public information.

32. Security

BTSS will apply reasonable security measures for the MyAMT platform, which may include HTTPS, role-based access control, restricted administrative access, credential protection, audit logging, backup processes, and server patching support.

The Client remains responsible for user access decisions, user permissions, internal password practices, authorised approvers, internal payroll controls, and any access granted to its employees or representatives.

33. Availability and Scheduling

Unless a dedicated support arrangement, priority support plan, or formal SLA is agreed in writing, BTSS services are provided on a scheduled, reasonable-efforts basis. Meetings, configuration sessions, deployments, support work, and Change Request work must be scheduled in advance.

The Client acknowledges that BTSS availability may be subject to existing commitments. Any requirement for guaranteed availability, fixed support windows, dedicated standby, priority response, or after-hours availability must be separately scoped and may attract additional fees.

34. No Guarantee of Third-Party Services

BTSS is not responsible for failures, downtime, delays, API changes, pricing changes, policy changes, restrictions, bans, rate limits, authentication issues, or service interruptions caused by third-party providers, including Microsoft, Sage, WhatsApp, hosting providers, domain providers, email providers, banks, payment providers, and any other external platform or service.

35. Warranties and Disclaimers

BTSS will provide services with reasonable care and skill. Except as expressly stated in writing, the MyAMT platform and related services are provided “as is” and BTSS makes no warranty that the platform will be uninterrupted, error-free, suitable for every business scenario, or unaffected by third-party provider limitations.

36. Limitation of Liability

To the maximum extent permitted by law, BTSS will not be liable for indirect, incidental, consequential, special, punitive, or economic loss, including loss of profit, loss of revenue, loss of data, loss of business opportunity, reputational loss, payroll delays, or business interruption.

BTSS’s total liability relating to any invoice, service, deliverable, platform issue, or engagement will be limited to the amount paid by the Client for the specific service giving rise to the claim, unless otherwise required by law.

37. Force Majeure

BTSS will not be liable for delay or failure to perform caused by events outside its reasonable control, including power outages, internet failures, hosting provider failures, labour disruption, civil unrest, natural disasters, government action, cyber incidents, third-party service failures, or other force majeure events.

38. Termination

Either party may terminate ongoing services by written notice in accordance with any signed agreement, or if none exists, on 30 calendar days’ written notice. BTSS may suspend or terminate immediately for material breach, including non-payment, subject to any cure periods required by law or agreed in writing.

Termination does not affect amounts already due, work already performed, approved costs incurred, or invoices issued before the termination date. Where hosting or support services are terminated, BTSS may provide reasonable handover assistance as a separately billable service unless otherwise agreed.

39. Notices

Notices must be provided in writing and may be delivered by email to the most recent email address used between the parties, unless a different notice address is specified in a signed agreement.

40. Governing Law and Jurisdiction

These terms are governed by the laws of the Republic of South Africa. The parties consent to the jurisdiction of the South African courts having competent jurisdiction.

41. Acceptance

Payment of an invoice, written approval, project commencement, use of delivered services, use of the MyAMT platform, or continued engagement with BTSS will be deemed acceptance of these MyAMT Solution Terms.

42. Change Control

BTSS may update these MyAMT Solution Terms from time to time. The version applicable to an invoice or service is the version published on this page at the time that invoice is issued, unless a signed written agreement states otherwise.
